Continuing Personal Guarranty

FOR AND IN CONSIDERATION OF the extension of credit under the terms of a written credit application to

Personal Guaranty*

I/We personally and individually guarantee to Jordans Building Center, Inc. or its successors and assigns, to be jointly and severally liable for payment of any and all indebtedness of Applicant under the terms of the written credit application when payment for those charges become due, including interest at the agreed rate of 24% and all cost of collection including reasonable attorneys fees. I further agree this guaranty is absolute, complete, unconditional, and continuing, and shall remain unimpaired by any modification or alteration of the terms of the credit application between Jordans Building Center, Inc. and Applicant, including the amount of credit extended and charges incurred under the credit application. This guaranty shall apply to all charges for goods, materials, services, equipment and services, incurred by Applicant. This guaranty shall also apply to any other indebtedness owed to Jordans by Applicant. This guaranty shall continue in force notwithstanding the incorporation of the Applicant, change in business form of the Applicant or any change in the form of the indebtedness or extensions of the indebtedness. This Guaranty can only be terminated upon 30 days written notice of termination sent by certified mail to the current principal business address of Jordan’s Building Center, Inc. and shall not apply to any current indebtedness owed by the applicant at the time the termination notice is sent. I/We will pay the account in full within ten (10) days of notice of Applicants default. I/We understand this guaranty shall not be waived or impaired by any extension of time for payment to Applicant or by any means other than express written agreement. I/We agree to also pay all costs of collection including reasonable attorney’s fees. This agreement shall be deemed to have been entered into in the State of Colorado. Unless otherwise required by law, the parties agree that the Courts for the County of Jefferson, State of Colorado shall have exclusive jurisdiction over any legal actions. The parties agree and consent to the jurisdiction of that court over the subject matter of those controversies and over them personally.

IN CONSIDERATION of Jordan’s Building Center Inc. extending credit to the Applicant named in the credit application on the front page hereof, delivering materials to the Applicant on credit terms and relying upon the representations set forth n the credit application, the undersigned agrees as follows:

The persons signing this Agreement warrant and represent that they have full authority to enter into this credit agreement for and on behalf of the Applicant
All the charges for materials delivered to the applicant are due and payable by the 11th day of the month following delivery of the materials. AN INTEREST CHARGE OF ONE AND ONE-HALF PERCENT (1.1/2%) per month on the unpaid balance, which is an ANNUAL RATE OF EIGHTEEN PERCENT (18%) SHALL BE CHARGED ON ALL AMOUNTS PAST 30 DAYS.
Notice to the Applicant of non-payment of any past due account is hereby waived.
If Jordan’s Building Center Inc., at its sole discretion, deems it necessary or advisable to retain attorneys to enforce any provision of this Agreement, or to collect any past due account hereunder, then, whether or not suit is brought, Applicant shall pay all costs and expenses incurred by Jordan’s Building Center Inc., in connection therewith, including reasonable attorney’s fees, and all such costs and benefit of Jordan’s Building Center, Inc. Neither the terms of the is Agreement nor the taking of any particular action to enforce provisions hereof shall be construed as a limitation on election or waiver of any other remedies available t Jordan’s Building Center at law or in equity. This is an agreement only for the extension of credit upon delivery of materials by Jordan’s Building Center Inc. and is in no way a commitment by Jordan’s Building Center, Inc. to deliver any materials whatsoever. The credit extended under this agreement may be terminated at any time when within the sole judgement of Jordan’s Building Center Inc. the credit standing of the Applicant or Guarantors becomes impaired or when it appears any material representations on the credit application are false.
